Terms of Service

• "Account – the workspace created by you within the Services." -
• "Content – all text, images, video, audio, files, messages, metadata, and other material transmitted or stored via the Services." -
• "Subscription – the paid plan (or free trial) that entitles you to a defined set of features for a specified term." -
• "User – any natural person who accesses or uses the Services via your Account, including Admins, Agents, and View‑only roles." -

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the entity you represent. You agree to provide accurate, complete, and current registration information and to keep such information up to date.

Subject to these Terms and timely payment of fees, Fiko grants you a limited, non‑exclusive, non‑transferable, revocable licence to access and use the Services for your internal business purposes.

You may not:

• Resell, sublicense, or otherwise make the Services available to third parties except as expressly permitted;
• Reverse‑engineer, decompile, disassemble, or attempt to discover the source code or underlying algorithms (except to the extent such restriction is prohibited by law);
• Use the Services to build a competing product or service;
• Bypass or disable any security or usage‑limiting features.

You agree not to use the Services to:

• Violate any applicable law or regulation, including the UK GDPR and the Meta Platform Terms;
• Send spam, phishing, or unsolicited commercial messages;
• Transmit content that is unlawful, harmful, defamatory, obscene, or hateful;
• Infringe or misappropriate the intellectual‑property or privacy rights of others;
• Conduct or promote fraudulent, deceptive, or illegal activities.

Fiko reserves the right to remove content or suspend your Account if, in our sole judgment, you breach this section.

The Services integrate with various third‑party platforms—including, without limitation, Facebook Messenger, Instagram, WhatsApp, Telegram, and email providers. Your use of such platforms is governed by their respective terms. You are solely responsible for complying with all third‑party policies. Fiko is not liable for acts or omissions of any third‑party provider.

We process personal data in accordance with our Privacy Policy. You remain the Data Controller for Content originating from your Facebook Pages, Instagram Accounts, and other sources. You represent and warrant that you have obtained all consents and have all legal bases necessary to process such data via the Services.

• Trials – New Accounts may be eligible for a free‑trial period. At the end of the trial, continued access requires a paid Subscription.
• Fees – Subscription fees are billed in advance and are non‑refundable except as required by law.
• Auto‑Renewal – Subscriptions renew automatically for successive terms unless cancelled at least 24 hours before the end of the current term.
• Taxes – Prices are exclusive of VAT and other applicable taxes; you are responsible for such taxes.
• Upgrades / Downgrades – Changing plans will result in a pro‑rated charge or credit on your next invoice.

Payments are processed by Stripe Payments Europe Ltd or its affiliates. You authorise us to charge your chosen payment method for all applicable fees.

You may cancel your Subscription at any time via the Billing page. Your access will continue until the end of the current billing period. We may terminate or suspend the Services immediately if you materially breach these Terms or fail to pay fees when due.

Upon termination:

• Your licence to use the Services ends;
• We will delete your Content in accordance with our Data Retention schedule;
• Sections 11–18 survive termination.

All intellectual‑property rights in and to the Services, including software, trademarks, and documentation, are and remain the exclusive property of Fiko or its licensors. Except for the limited licence granted in §3, no rights are transferred.

You retain all rights in Content you submit, transmit, or display via the Services. You grant Fiko a worldwide, non‑exclusive licence to host, copy, process, and display your Content solely for the purpose of providing the Services.

If you provide suggestions, comments, or other feedback regarding the Services, you grant Fiko a perpetual, irrevocable, royalty‑free licence to use, modify, and incorporate such feedback without any obligation to you.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." EXCEPT AS EXPRESSLY SET OUT IN THESE TERMS, FIKO MAKES NO WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, OR AVAILABILITY. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, OR ERROR‑FREE.

• Fiko's total aggregate liability shall not exceed the greater of (i) £500 or (ii) the amount paid by you in the past 12 months.
• Fiko shall not be liable for indirect, consequential, incidental, punitive, or special damages, including lost profits, loss of data, or business interruption.

You agree to defend, indemnify, and hold Fiko, its directors, officers, employees, and affiliates harmless from any claims, damages, liabilities, costs, and expenses arising from: (a) your use of the Services; (b) your Content; or (c) your breach of these Terms or applicable law.

We may update the Services or these Terms from time to time. Material changes will be notified via email or in‑app banner at least 7 days prior to taking effect. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.

Fiko shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, war, terrorism, labour disputes, internet outages, or government action.

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict‑of‑law principles.

Any dispute that cannot be resolved informally shall be finally settled under the rules of the London Court of International Arbitration (LCIA). The seat of arbitration shall be London, the language English, and the governing law English law. You and Fiko waive any right to a jury trial or to participate in a class action.

Nothing herein prevents either party from seeking injunctive relief to protect intellectual property rights.

• Entire Agreement – These Terms and the Privacy Policy constitute the entire agreement between you and Fiko.
• Severability – If any provision is invalid or unenforceable, the remainder remains in full force and effect.
• Assignment – You may not assign these Terms without written consent; Fiko may freely assign its rights.
• No Waiver – Failure to enforce any right does not constitute a waiver.
